Our website grants you non-exclusive limited license to use the Simple Intranet suite of plugins, website hosting and other products sold through our website (http://www.simpleintranet.org) by Charlwood eMarketing Solutions (the “products”) in accordance with these Terms & Conditions (the “license) issued by our company.

1. Plugin Licensing

Simple Intranet, Simple Files and related plugins are licensed under the GNU general public license (http://www.gnu.org/licenses/gpl.html).

2. Automatic Upgrades

Automatic Upgrades are available to customers who have purchased a support license in accordance with the license they have purchased. A small or medium business license provides automatic upgrades for a single website.  A large/enterprise business or developer license provides automatic upgrades for unlimited sites owned by you or your clients. You may not share or resell access to your members area or support license key. Upgrades are provided for a term of 1 year from the time of purchase. After 1 year a new support license will need to be purchased in order to continue receiving support and product upgrades.

3. Delivery

After we have successfully processed your payment, you will receive an email with access to the Members area of our website to download our plugins, optional themes, hosting admin dashboard or related products. This may take up to 1 hour to arrive, but usually happens within minutes of placing the order. If you do not receive an email after this time period, please check your email filters or failing that, contact us.

4. Ownership

You may not claim intellectual or exclusive ownership rights to any of our products or services including software or hosting. All products are property of Charlwood eMarketing Solutions. They are provided “as is” without warranty of any kind, expressed or implied. We shall not be liable for any damages, including but not limited to, direct, indirect, special, incidental or consequential damages or losses that occur out of the use or inability to use our website hosting or software products.

5. Site Content

All site content, including imagery and documentation that is published on SimpleIntranet.org is the property of Charlwood eMarketing Solutions. Any replicated site content must be authorized in advanced. Content from this site shall not be used or exploited for commercial or non-commercial purposes without the prior written consent of Charlwood eMarketing Solutions.

6. Refund Policy

Charlwood eMarketing reserves the right to revoke software access or services at any time without refund. As we are offering paid access to the source code of WordPress plugins which are non-tangible digital goods or website hosting services, we DO NOT ISSUE REFUNDS after the purchase has been made.  If you have any issues after purchase, we have a range of support options for you including searching our site FAQs, blog and forum. Note that our plugins do not support or work on WordPress.com or WordPress Multisite installations.

We suggest you begin first troubleshooting on your own and also Google the issue or search WordPress.org.  A typical troubleshooting scenario is where you first deactivate all other plugins other than ours, and reset your theme to the default  (e.g. Twenty Fourteen) and document step by step instructions on how to reproduce the issue.  An admin login and screenshots of the issue, as well as the names and current versions of active plugins and  are the best ways for us to help troubleshoot and resolve issues.

Note, many themes and plugins (particularly those that use JQuery) can and do sometimes cause conflicts.  We can not and do not guarantee that our plugins will not conflict with any of the 25,000+ other plugins, or 1,800+ 3rd party themes available on WordPress.org, or the additional paid themes or plugins sold elsewhere. Based on the numerous configurations and options among our own suite of Simple Intranet plugins, we also can not guarantee that conflicts will not occur between them. If you add more and more plugins, a conflict will surely occur, not to mention performance will deteriorate. We can not control the web hosting, remote or local server environments on which you install our software, and therefore can not troubleshoot issues related to servers, hosts or 3rd party web service providers of any kind.

7. Support

Charlwood eMarketing Solutions offers WordPress plugins and website hosting services “as is” and with no implied meaning that they will function exactly as you would like or will be compatible with all 3rd party components and plugins. We do not offer support via email or otherwise support WordPress or other WordPress plugins or themes we have not developed. We do not support any themes or any design related code. We are coders, not designers. We also do not support local or multisite installations of WordPress. We can only support self-hosted WordPress plugin issues or website hosting of intranets.

Support is offered via our website (search function), FAQs, online forum accessible via the paid Members area, and videos. We do not guarantee phone support, since effective troubleshooting for issues and bugs can only be done online via forum while adhering to our Posting Guidelines as outlined there, and requires exact steps to duplicate issues, as well as all plugin versions and details.

Support and automatic product updates are provided for a term of 1 year from the time of purchase. After 1 year a new license will need to be purchased in order to continue receiving support and product updates.

License holders cannot distribute, freely giveaway, or resell their login access, website hosting or source code. Client site usage of our Members area is not permitted. Only the license holder is permitted to request support or access support resources.

Client site usage is permitted for Developer license holders only, and in situations where the license holder maintains an ongoing relationship with the client. Providing Simple Intranet and related products as a service does not constitute a client relationship. Only the Developer license holder is permitted to request support or access support resources on behalf of their clients. Only agencies who purchase a Developer license may contact Simple Intranet for support, and not their clients.

License holders are not permitted to re-post support forum content or documentation on any external websites, social media outlets, etc. Posting screen captures of this content is also prohibited. Violation will be grounds for immediate termination of the support license and all access to support content and product updates will be discontinued.

Abusive language (written, verbal or otherwise) or offensive client behaviour is not tolerated and will result in immediate account deactivation without refund.

8. Transactional Emails

Charlwood eMarketing Solutions may on occasion send you email notifications related to your Simple Intranet license or webhosting service. These transactional emails may include notification of licensing changes, changes to our terms and conditions, license expiration notices and other transactional emails related to your purchase of Simple Intranet software products or hosting services.

9. Price Changes

Charlwood eMarketing Solutions reserves the right, at any time, to modify or discontinue, temporarily or permanently, a support license with or without notice. Prices of all products and services are subject to change. Notice of price changes will be made on the site.

10. Warranty

Our plugins are meant to function on a clean installation of the latest versions of WordPress software. We do not guarantee they will function with all 3rd party plugins or with all web browsers or on local sites or servers. We are not responsible for any plugin compatibility conflicts that may occur. It is our policy to support our plugins as best we can, however we can not provide support for 3rd party plugin conflicts. We are not responsible for any data loss or security breaches that may occur as a result of installing our plugins or using our website hosting services.

11. Acceptance

By purchasing our product(s) you indicate that you have read and agree the Terms & Conditions detailed on this page. We reserve the right to change or modify the current Terms and Conditions with no prior notice.
